GILATBC Business Terms & Conditions

These Business Terms & Conditions govern your registration and use of the GILATBC platform as a seller, business entity, service provider, or tailor. By registering a business on GILATBC, you agree to be bound by these terms in full. These terms apply in addition to the GILATBC User Terms & Conditions, which also apply to your account.
Business Registration
To register a business on GILATBC, you confirm that:
- You are duly authorised to act on behalf of the registered business entity
- All business information, documents, and identification provided are authentic, valid, and legally registered
- Your business complies with all applicable Nigerian federal and state laws, including tax obligations, consumer protection legislation, and relevant trade regulations
- You will promptly notify GILATBC of any material changes to your business information, legal status, or registration details
Business registrations are subject to review and approval by GILATBC. You may have no more than two pending registrations at any time; additional applications will be rejected. GILATBC reserves the right to reject, suspend, or permanently remove any business that provides false or misleading registration information.
Seller Obligations
As a seller on GILATBC, you are bound by the following obligations:
- Accurate listings: All product descriptions, images, prices, sizes, conditions, and availability must be accurate and not misleading. Listings must not violate any intellectual property rights.
- Inventory management: You must maintain sufficient stock for all active listings. If an item becomes unavailable after an order is placed, you must notify GILATBC and the buyer immediately.
- Prohibited items: You must not list any item that is illegal, counterfeit, hazardous, or violates GILATBC's content policy. GILATBC reserves the right to remove any listing at its sole discretion.
- Handling time: You must process, package, and dispatch orders within the handling time stated on your listing or within the system default.
- Delivery deadlines: You must ensure all orders are shipped and in transit to the buyer before your Seller Deadline — the deadline assigned to your order at the time of purchase. Failure to meet this deadline may result in a penalty, automatic order cancellation, and refund to the buyer.
- Communication: You must respond to buyer queries, claims, and platform notifications in a timely manner through your GILATBC dashboard.
- Tracking information: Where applicable, you must upload valid tracking information for all shipped orders.
Orders & Fulfilment
- Orders are binding once payment is confirmed by GILATBC. You may not cancel a confirmed order without just cause.
- When an order is placed, you will receive a Seller Deadline — a timestamp by which the order must be shipped and in transit. Missing this deadline may result in automatic cancellation, a refund to the buyer, and a financial penalty.
- If you are unable to fulfil an order due to stock unavailability, you must inform GILATBC support immediately. Repeated non-fulfilment will result in account suspension.
- GILATBC monitors order statuses. Orders that remain in PENDING or PROCESSING status beyond the Seller Deadline will be escalated automatically.
Payout Policy
GILATBC operates a deferred payout model to protect buyers during the delivery period.
How Payouts Work
- When a buyer places an order and payment is confirmed, GILATBC holds the funds securely.
- Your payout is scheduled 7 days after the Estimated Delivery Date (EDD) of the order. This 7-day window gives the buyer time to confirm receipt or file a legitimate claim.
- After the 7-day window closes with no claim filed, your payout is processed automatically to your registered settlement account.
- If the buyer confirms receipt before the 7-day window closes, your payout may be processed early.
Platform Fees
GILATBC charges the following fees, which are automatically deducted before your net payout is calculated:
- Referral fee: 5% of the gross value of every transaction (or the current rate published on the platform).
- Service fee: 2% of the gross value of service transactions (or the current rate published on the platform).
Example: If a buyer pays ₦10,000 for your product, the referral fee is ₦500. Your gross payout before penalties is ₦9,500.
The fees cover platform services including payment processing, buyer protection, dispute resolution, product discovery, analytics, and platform infrastructure.
Penalty Deductions
Outstanding penalties (see Penalty Policy below) may be deducted from your payout before disbursement. GILATBC will notify you before any deduction is made.
Settlement Accounts
- You must maintain a verified primary settlement account in your business dashboard in your configured payout currency (NGN or USD).
- Payouts are made in the currency configured on your business entity. GILATBC does not perform currency conversion.
- Bank transfer times are outside GILATBC's control. Funds typically arrive within 1–3 business days after processing.
- If your settlement account details are incorrect or the transfer fails, your payout will be rescheduled. GILATBC is not liable for delays caused by incorrect banking information.
Payout Holds
Your payout may be placed on hold if:
- A buyer files a valid claim against your order
- Your business account is suspended or under review
- GILATBC identifies suspicious or fraudulent activity on your account
Held payouts will be released or cancelled depending on the outcome of the relevant claim or review.
Refund Policy
Where a buyer claim is upheld, GILATBC will process a refund to the buyer. In such cases:
- The held payout for the relevant order will be cancelled or reduced proportionally.
- If no payout was held (e.g. if the payout had already been processed), GILATBC may recover the refund amount from future payouts or require direct repayment.
- A refund withholding rate of 3% is applied to all refunds to cover the non-refundable portion of payment processing fees charged by our payment partner, Flutterwave. This means the buyer receives 97% of their refund gross amount. This is a platform cost, not an additional charge to the seller.
Penalty Policy
GILATBC may impose financial penalties on your business for the following violations:
- Late or missed fulfilment: Failure to ship an order before the Seller Deadline
- False shipping evidence: Uploading fraudulent or fabricated tracking information
- Repeated policy violations: Listing prohibited items, providing false product descriptions, or repeated non-response to buyer claims
- Failed giveaways: Failure to honour giveaway prizes or promotional commitments after sufficient participant flags are reported
- Fraudulent activity: Any activity determined to be fraudulent or deceptive
How Penalties Are Applied
- GILATBC logs each violation against your business account.
- Upon reaching threshold violation counts, a financial penalty is assessed.
- The penalty amount is deducted from your next available payout.
- You will be notified via your dashboard and email before any deduction.
- Accumulated penalties that exceed available payout funds may be invoiced directly.
Repeated serious violations may result in permanent account suspension and legal action.
Product Request Type
If your business accumulates 5 or more product deactivations due to policy violations or buyer flags, your product listing mode will be automatically switched from Automatic Approval to Manual Review. Under manual review, all new product listings require approval from GILATBC before going live. This restriction may be lifted upon satisfactory review by GILATBC's compliance team.
Giveaway Restrictions
If your business accumulates 5 or more giveaway deactivations due to "not received" reports from participants, your ability to create new giveaways will be disabled. You must contact GILATBC support to request reinstatement.
Claims & Dispute Policy
GILATBC operates a structured dispute resolution process. As a seller, you are required to participate in good faith.
Your Obligations in a Claim
- You will be notified when a buyer files a claim against your order.
- You have 14 days to accept the claim, reject it with counter-evidence, or propose an alternative resolution.
- Failure to respond within 14 days will result in automatic escalation to a GILATBC admin, who may rule in the buyer's favour.
- Counter-evidence must be genuine. Submitting false or fabricated evidence is a serious violation and may result in immediate suspension.
Resolution Types
GILATBC may propose one of the following resolutions:
- Full Refund: Buyer receives a full refund. Seller payout is cancelled.
- Partial Refund: Buyer receives a partial refund. Seller receives a reduced payout.
- Replacement: Seller ships a replacement item within a set deadline. Seller payout is held pending verification.
- Return & Refund: Buyer returns the item. Upon verified return, buyer receives a refund and seller payout is cancelled.
- No Action: Claim is dismissed. Seller payout is released.
All decisions made by GILATBC admins during the escalation stage are final and binding.
Service Bookings
If you offer bookable services through GILATBC:
- You must accept or reject incoming bookings within 48 hours. Failure to respond within this window will result in automatic rejection and a full refund to the buyer.
- Once you accept a booking, you are obligated to be available at the scheduled time and location (for IN_PERSON services) or provide the agreed remote session link.
- You must upload proof of service delivery (e.g. check-in confirmation, session screenshots, completion photo) through your dashboard.
- If you fail to show up for a confirmed booking without adequate notice, a full refund will be issued to the buyer and a financial penalty may be applied to your account.
- If 3 or more service disputes are upheld against your business within a rolling 90-day period, your service listings will be moved to manual approval mode, requiring admin review before publication.
No-Show Compensation
If a buyer fails to check in for a confirmed booking:
- The booking is automatically cancelled after the grace period.
- The buyer's payment is cancelled and returned to them, minus the applicable no-show fee.
- The no-show fee is paid to your settlement account as compensation for your reserved time.
- The no-show fee rate is configured by GILATBC and disclosed in your fee settings dashboard.
Service Subscriptions
If you offer recurring service subscriptions:
- Subscriptions are billed automatically to the buyer at the start of each billing cycle through Flutterwave.
- You must deliver the subscribed service for the full billing period. Failure to do so may result in a claim and a pro-rata refund to the buyer.
- Buyers may cancel at any time; cancellation takes effect at the end of the current billing period.
- A subscription fee of 2% (or the current rate published on the platform) is applied to subscription payments.
Tailoring Services
If you offer tailoring services through GILATBC:
- You must hold a valid Tailor Provider Verification approval on your business account.
- Tailoring orders require you to upload proof at each major production stage: measurement confirmation, fitting, completion, and delivery. Failure to upload required proofs within a reasonable timeframe may result in an automatic refund to the buyer.
- You are responsible for the accuracy of your measurement templates. If a buyer provides measurements that match the template and the garment does not fit accordingly, this is a quality issue and the buyer may file a claim.
- Tailoring templates that receive 10 or more buyer flags will be automatically deactivated and removed from search results pending review.
In-App Chat & Communication
GILATBC provides in-app chat between you and your customers:
- Respond to customer messages promptly and professionally. Persistent non-response may affect your service rating.
- Do not solicit off-platform payments or share customer personal data outside the platform.
- Harassment, spam, or abusive language in chat is a violation of these terms and may result in account suspension.
- GILATBC may review chat messages to enforce these terms and protect users.
AI Assistant & Bot Services
GILATBC provides an AI-powered assistant on WhatsApp and Telegram that helps you sell, manage orders, respond to customers, and grow your business:
- Plans: Business bot plans are Free, Pro, and Max. Current pricing is published on the platform (e.g. Pro ₦2,500/month or ₦25,000/year; Max ₦5,000/month or ₦50,000/year) and may change with 30 days' notice.
- Trial: New businesses receive a 7-day free trial of the Pro plan. At the end of the trial you will be downgraded to the Free plan unless you subscribe.
- Credits: Bot usage is metered in task credits. Your plan includes a monthly credit allowance; additional credits can be purchased in packs (e.g. Boost, Bulk, Scale) and may be topped up automatically when your balance runs low.
- Fair use: You may not use the assistant to spam customers, scrape the platform, or engage in fraudulent activity. Automated abuse may result in suspension of bot access.
- Availability: Bot features are available on supported messaging platforms (currently WhatsApp and Telegram). Feature availability may vary by plan.
Payout Currency
- Payouts are made to your verified settlement account in the currency configured on your business entity (NGN or USD).
- You must maintain at least one verified settlement account in your configured payout currency at all times.
- If you wish to change your payout currency, you must first add and verify a settlement account in the new currency before the change takes effect.
- GILATBC does not convert payout currencies. Your payouts are always disbursed in your configured settlement currency.
Flash / Temporal Listings
Temporal (flash) listings automatically expire at the time you specify. When using temporal listings:
- You are still obligated to fulfil all orders placed before the listing's expiry, even if the listing has since expired.
- Temporal listings must not be used to create artificial urgency for prohibited items or to manipulate pricing.
- Repeated misuse of temporal listings may result in removal of your ability to create them.
Business Inactivity & Suspension
GILATBC monitors business account activity to protect the integrity of the marketplace.
- If no member of your business team logs in for 90 consecutive days, GILATBC will issue an inactivity warning via email and in-app notification.
- If no member logs in within 7 days of the warning, your business will be automatically suspended. Upon suspension:
- All active product listings, temporal products, tailoring templates, and giveaways will be deactivated.
- All pending and scheduled payouts will be placed on hold.
- All open orders in PENDING or PROCESSING status will be cancelled and buyers refunded.
- To reactivate a suspended business, contact GILATBC support with proof of activity.
Product & Content Policy
- All listed products must comply with Nigerian law and GILATBC's content guidelines.
- Prohibited listings include but are not limited to: counterfeit goods, firearms and ammunition, controlled substances, explicit adult content, and stolen property.
- GILATBC reserves the right to remove any listing at any time without prior notice if it is found to violate these terms.
- Products that receive a threshold number of buyer flags (currently 10 flags) will be automatically deactivated pending review. Your business will be notified.
Abuse, Moderation & Enforcement
GILATBC maintains community guidelines and actively monitors the platform for abuse:
- Community guidelines: All businesses must comply with GILATBC's community guidelines. Violations are logged against your account.
- Moderation: GILATBC may moderate listings, reviews, chat messages, and bot interactions. Content that violates these terms may be removed without notice.
- Automated enforcement: The platform uses automated systems to detect fraud, abuse, and policy violations (e.g. fake reviews, image abuse, subscription abuse, giveaway manipulation). Actions taken by these systems may include listing deactivation, feature restrictions, payout holds, and account suspension.
- Rate limits: The platform enforces rate limits on certain operations to prevent abuse. Exceeding these limits may result in temporary restrictions.
- Appeals: If you believe an enforcement action was taken in error, you may appeal by contacting [email protected] with supporting evidence.
Subscriptions & Platform Fees
- GILATBC offers optional subscription plans providing enhanced features (e.g. bot plans, increased product limits, analytics, promotions). Subscription fees are charged separately from the referral fee.
- All subscription fees are non-refundable unless GILATBC fails to provide the subscribed service.
- GILATBC reserves the right to change subscription pricing with 30 days' prior notice.
Settlement & Tax Obligations
- It is your sole responsibility to comply with all applicable tax obligations in your jurisdiction, including VAT, withholding tax, and income tax on income received through GILATBC.
- GILATBC does not provide tax advice. GILATBC may issue transaction statements for your records upon request.
- GILATBC will comply with any lawful government or court order requiring disclosure of your account information or transaction history.
Confidentiality
You agree to keep confidential any proprietary information, trade secrets, or non-public information you access through the GILATBC platform in the course of operating your business account.
Intellectual Property
You represent and warrant that:
- You own or have the right to sell all products listed on GILATBC
- Your product listings do not infringe any third-party intellectual property rights
- You grant GILATBC a non-exclusive, royalty-free licence to display, reproduce, and promote your product listings and brand assets solely for the purpose of operating and marketing the GILATBC platform
Limitation of Liability
To the fullest extent permitted by law, GILATBC's liability to your business for any claim arising from or related to these terms shall not exceed the total referral fees paid by your business to GILATBC in the 3 months immediately preceding the event giving rise to the claim.
GILATBC is not liable for any indirect, incidental, consequential, or punitive damages, including loss of profit, revenue, or business opportunity.
Termination
GILATBC reserves the right to suspend or permanently terminate your business account at any time, with or without notice, for:
- Breach of any provision of these terms
- Fraudulent, deceptive, or illegal activity
- Repeated or serious policy violations
- Prolonged inactivity (see Business Inactivity & Suspension above)
Upon termination, all pending payouts may be withheld pending a final audit. Any payouts found to be legitimately owed will be disbursed after the audit period.
Changes to These Terms
GILATBC may update these Business Terms & Conditions from time to time. Material changes will be communicated via email and in-app notification with at least 14 days' notice before taking effect. Continued use of the platform after the effective date constitutes acceptance of the updated terms.
Governing Law
These terms are governed by and construed in accordance with the laws of the Federal Republic of Nigeria. Disputes shall be subject to the exclusive jurisdiction of the courts of Lagos State, Nigeria.
